Albuquerque, New Mexico, Nov. 17, 2017 — The Law Office of Nicholas Koluncich III, LLC is continuing its investigation and analysis of the proposed “merger” of J. Alexander’s (JAX) and certain co-parties with 99 Restaurants, LLC, announced in August of 2017.

On August 4, 2017, JAX announced in its public filings with the Securities and Exchange Commission (“SEC”), make on Form 8-K, that J. Alexander’s, Fidelity Newport Holdings, LLC (“FNH”) and Fidelity National Financial Ventures, LLC (“FNFV”), a direct wholly-owned subsidiary of FNF, had entered into a definitive agreement under which the Company will acquire 99 Restaurants, LLC (“99 Restaurants”) in an all-stock transaction valued at approximately $199 million, including the assumption of approximately $20 million in net debt.

One major shareholder, Marathon Partners Equity Management, LLC “[It] estimate[d] J. Alexander’s intrinsic value ranges from $13 to $15 per share, significantly higher than the $11 used by the Board to underpin the proposed transaction.” The relationship between the parties and the process which yielded this purchase price and other deal terms warrant further investigation and analysis.
